1. Acceptance of Terms

By accessing or using TXAIMS ("Texas AI Management System"), operated by Jason Pellerin ("we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service.

2. Description of Service

TXAIMS provides software tools designed to assist businesses in managing AI governance and compliance documentation related to the Texas Responsible AI Governance Act (TRAIGA / HB 149), SB 1964 (government AI ethics), SB 1188 (healthcare AI disclosures), HB 3512 (government AI training), NIST AI RMF, and similar regulations. The Service includes:

  • AI system registry and documentation tools
  • Prohibited practice screening under TRAIGA
  • NIST AI RMF safe harbor alignment tracking
  • Automated evidence bundle generation
  • Healthcare AI patient disclosure generation (SB 1188)
  • Government AI ethics compliance tools (SB 1964, HB 3512)
  • Incident tracking and 60-day AG cure response workflows
  • Compliance documentation storage

3. Important Disclaimers

3.1 Not Legal Advice

TXAIMS DOES NOT PROVIDE LEGAL ADVICE. The Service is a software tool that assists with documentation and workflow management. Nothing in the Service constitutes legal advice, and use of the Service does not create an attorney-client relationship. You should consult with qualified legal counsel regarding your specific compliance obligations under TRAIGA and other applicable laws.

3.2 No Guarantee of Compliance

USE OF TXAIMS DOES NOT GUARANTEE COMPLIANCE with the Texas Responsible AI Governance Act (TRAIGA / HB 149), NIST AI RMF, or any other law, regulation, or standard. While NIST AI RMF alignment may serve as an affirmative defense under TRAIGA Section 546.103, compliance depends on many factors specific to your business, AI systems, and implementation. You are solely responsible for ensuring your AI systems and business practices comply with applicable laws.

3.3 No Guarantee Against Penalties

We do not guarantee that use of the Service will prevent regulatory enforcement actions, penalties (up to $200,000 per violation under TRAIGA), fines, or litigation. The Service is designed to help you document "reasonable care" efforts and build affirmative defense documentation, but regulatory outcomes depend on factors beyond our control.

4. User Responsibilities

You agree to:

  • Provide accurate and complete information about your AI systems
  • Review and verify all automated reports and assessments before relying on them
  • Maintain appropriate human oversight of your AI systems independent of TXAIMS
  • Consult qualified legal counsel for legal advice regarding TRAIGA and other compliance
  • Not use the Service for any unlawful purpose or prohibited AI practice under TRAIGA
  • Keep your account credentials secure
  • Comply with all applicable laws and regulations
  • Respond to any AG cure notices within the 60-day cure period

5. Subscription and Payment

TXAIMS offers subscription plans with different feature levels. By subscribing, you agree to:

  • Pay all fees associated with your selected plan
  • Automatic renewal unless canceled before the renewal date
  • Provide accurate billing information

6. Data and Privacy

Your use of the Service is also governed by our Privacy Policy. You retain ownership of all data you input into the Service. We maintain appropriate security measures and store compliance documentation for the legally required retention period (minimum 3 years as recommended by TRAIGA enforcement guidance).

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
  • WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.
  • OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
  • WE ARE NOT LIABLE FOR ANY REGULATORY PENALTIES, FINES, OR ENFORCEMENT ACTIONS YOU MAY FACE UNDER TRAIGA OR ANY OTHER LAW, REGARDLESS OF WHETHER YOU USED THE SERVICE.

8. Indemnification

You agree to indemnify, defend, and hold harmless Jason Pellerin and TXAIMS from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any applicable laws or regulations.

9. Modifications

We may modify these Terms at any time. We will notify you of material changes via email or through the Service. Your continued use after such notification constitutes acceptance of the modified Terms.

10. Termination

Either party may terminate this agreement at any time. Upon termination, your access to the Service will cease. We will retain your compliance documentation for the legally required retention period, after which it will be securely deleted.

11. Governing Law

These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Austin, Texas.
